BY-LAWS OF THE VILLAGE OF DUVAL SOCIAL CLUB
ARTICLE l NAME
The name of the organization shall be THE DUVAL SOCIAL CLUB.
The organization may, at its pleasure, by a vote of a majority of
the Membership at the monthly meeting, change its name.
ARTICLE ll PURPOSE
The Duval
Social Club is organized exclusively to provide Duval residents the opportunity
to promote neighborliness through social functions. The Duval Social Club is
open to all residents of The Village of Duval, regardless of any particular
individual club affiliation, as a gesture of neighborliness and community
spirit. The By-laws shall be posted on the Village of Duval Social Club website:
http://www.duvalsocialclub.com.
ARTICLE lll MEMBERS
Section 1 - Qualifications
Membership in the organization shall be open to all who have
established home ownership in the Village of Duval. Verification
shall be in the form of The Villages ID card.
The Village of Duval is bounded by Buena Vista Boulevard, and Turtle Mound Golf
Course on the West; 466A on the South; Murrel’s Inlet Loop, Little Mountain
Loop, and Westmoreland Loop on the North; James Island St., Chateau Way and
Truman Golf Course on the East. The Village of Duval is bounded by Buena Vista

Section 2 - Dues
Annual Dues shall be Five dollars per person.
Such annual dues shall become due and payable on the first day of the calendar
year.
Monies shall also accrue from fund raising activities.
All
monies shall be used to defray the expenses of social events.
ARTICLE lV OFFICERS
Section 1 - Officers
President Vice-President Secretary Treasurer
The President shall:
- Present at each meeting a report of the work of the organization
- Appoint all Committees
- See that all books, reports, and certificates
required by law are properly kept and filed
- Be one of the Officers who may sign the checks of the organization;
- Have such powers as may be reasonably construed as belonging to the office of Chief Executive of the
organization
The Vice-President shall:
- In the event of the absence or inability of
the President to exercise his office, become Acting-President with all
the rights, privileges and powers as if he had been elected President;
- Be one of the Officers who may sign the checks of the organization.
The Secretary shall:
- Keep the Minutes and records of the organization;
- Serve all notices to Members;
- Present at meetings any communication addressed to the organization;
- Be one of the Officers who may sign the checks of the organization.
The Treasurer shall:
- Have the care and custody of all monies belonging to the organization;
- Cause monies to be deposited in a savings bank;
- Present at meetings a written account of the finances and the report shall be physically attached to the Minutes of
the meeting;
- Be one of the Officers who sign the checks of the organization;
Section 3 - Term of Office
The Board of Directors shall be elected for a term of one year.
Section 4 - Nominations and Elections
At all meetings, except for the election of Officers, votes shall be by voice.
For votes by ballot, the President shall appoint a Nominating Committee and a
Supervisor of Elections Committee.
Nominations for the Board of Directors shall be presented to the Membership by
the Committee in October. The Voting shall take place before the November
meeting to allow for a transition period. The term of office will begin in
January of the ensuing year.
For the election of Officers, ballots shall be provided and the ballot shall
not indicate the person who cast such ballot.
Each Member shall have one vote and the vote shall not be through proxy, mail
or email. Verification of residency shall be in the form of The Villages ID
card.
ARTICLE V BOARD OF DIRECTORS
Section 1- Representation and Authority
The Board of Directors shall consist of the elected officers. The Officers
shall be full time residents of the Village of Duval and the state of
Florida.
Verification shall include The Villages ID card, and a Voter Registration card.
Section 2 - Meetings
The meetings of the Board of Directors shall be held monthly, prior to the
Membership meeting. The Board of Directors shall make such rules and
regulations covering its meetings as it may determine necessary. Vacancies in
the Board of Directors shall be filled by a vote of the majority of the
remaining Members of the Board of Directors, and the term of office is for the
remainder of the year.
No officer shall for reason of the office, be entitled to receive any salary or
compensation. Nothing herein shall be construed as to prevent an officer for
being paid for receiving compensation from the organization for duties other
than as an officer.
Section 3 - Quorum
Fifty percent of the Members of the Board of Directors shall constitute a
Quorum. Each officer shall have one vote and the vote shall not be through
proxy, mail or email.
ARTICLE Vl MEETINGS
Section 1 - Regular Meeting
Monthly Membership meetings shall be held except if such a day be a legal
holiday. In such an event, the Board of Directors shall fix the date or cancel
the meeting as necessary.
A monthly meeting notice shall be posted at the Village of Duval bulletin board in postal
section of the village pool and on the Village of Duval website.
Section 2 - Special Meeting
Special meetings may be called by the President when it is deemed in the best
interest of the organization. A meeting notice shall be posted at the Village of
Duval bulletin board in postal section of the village pool and on the Village
of Duval website. Notices of such meeting shall state the business to be transacted
at such a meeting, and by whom it was called.
No other business but that specified in the notice shall be transacted without
unanimous consent of attendees.
Section 3 - Quorum
The presence of not less than five percent [5%] of the Members shall constitute
a Quorum necessary to conduct business of the organization.

ARTICLE Vll COMMITTEES
All Committees of the organization shall be appointed for a period of one year,
or less if termination is deemed necessary by the Board of Directors.
Section 1 - Standing Committees
Standing Committees shall include, but not be limited to:
Nominating Committee: For elections by ballot, the President shall
appoint a Committee of at least three who shall who shall identify at least one
candidate for each vacant position on the Board of Directors.
Supervisors of Elections: For votes by ballot, the President shall
appoint a Committee of at least three whom shall act as Supervisors of
Election. The Committee shall, at the conclusion of balloting, certify in
writing to the President, the results of the election. The report shall be
physically affixed to the Minutes of the meeting and the ballots shall be
destroyed.
The Membership Committee: shall welcome new residents, provide
information about the organization, extend an invitation to join Membership and
process Member badges.
The Social Committee: shall develop themes for the monthly meeting and
other social events, such as methods of fund-raising.
The By-laws Committee: shall amend By-laws as deemed necessary for the
good of the organization. The Committee shall notify the Membership and present
the revisions to the Membership for voting. A notice shall be posted at the Village
of Duval bulletin board in postal section of the village pool and on the
Village of Duval website.
Section 2 - Temporary Committees
Temporary Committees shall be appointed by the President on an as needed.
ARTICLE Vlll PARLIAMENTARY AUTHORITY
The organization is governed first by, local, state and federal laws, then by
policies which have been established for the good of the Membership. The
organization shall use the newly revised Robert's Rules of Order to govern
parliamentary procedure at all meetings.
ARTICLE lX AMENDMENTS
These By-laws may be amended by an affirmative vote of not less than two-thirds
[2/3] of the Members present at the meeting.
ARTICLE X DISSOLUTION
The Village of Duval Social Club may be dissolved only with authorization by
its Board of Directors at a special meeting called for that purpose, and with
approval by a two-thirds (2/3) vote of the Members present.
Upon dissolution, all remaining assets after payment in full of all its debts,
obligations, and necessary final expenses, or after the making of adequate
provision therefore, shall be distributed to such tax-exempt organizations be
chosen by the existing Board of Directors.

These Initial By-laws were approved at a meeting of the Board of Directors of
the Village of the Duval Social Club on December 5, 2008.
